Terms of Service

1. The agreement

These terms govern use of futuremodelsystems.com and the FMS platform. Signing an order form or statement of work ("SOW"), or using the console, means you accept them on behalf of your organization. Where an SOW conflicts with these terms, the SOW wins.

2. The service

FMS provides managed model-training engagements: fixed-scope packages in which FMS engineers ingest, prepare, train, evaluate, package and optionally deploy machine-learning models using data you supply, with progress visible in your console. Deliverables, baselines, gates, timelines and price are stated in the applicable SOW.

3. Your responsibilities

• You have the right to supply the datasets you upload and they do not violate third-party rights.
• You will not upload data you are not legally permitted to process, and you will flag regulated data (health, financial, children's) during scoping so the correct terms apply.
• Console credentials are per-person; you are responsible for activity under your organization's accounts.
• You will not use deliverables to build systems that are unlawful in your jurisdiction.

4. Ownership

Your data stays yours. Packaged model artifacts, model cards and eval reports produced under an SOW are assigned to you on payment. FMS retains ownership of the platform, pipeline, templates and generic know-how, none of which include your data or your models.

5. Fees

Packages are fixed-price with training compute included, invoiced per the SOW. Late amounts accrue interest at the lesser of 1.5%/month or the legal maximum. Taxes are your responsibility other than taxes on FMS income.

6. Warranties & disclaimers

FMS warrants engagements are performed with professional skill and that the eval report accurately reflects measured results on the stated held-out suite. Models are statistical systems: FMS does not warrant any particular business outcome from deploying them, and you are responsible for human oversight appropriate to your use case. EXCEPT AS STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT OTHER WARRANTIES.

7. Liability

Neither party is liable for indirect or consequential damages. Each party's total liability under an SOW is capped at the fees paid under that SOW, except for breaches of confidentiality, data-protection obligations, or amounts owed.

8. Term & termination

Either party may terminate an SOW for uncured material breach on 30 days' notice. On termination you receive all artifacts produced to date; refund treatment follows the Refund Policy.

9. General

Governing law and venue are stated in the SOW. Neither party may assign without consent except in a change of control. Notices go to the addresses on the SOW, with a copy to legal@futuremodelsystems.com.
